  1. VIDEOLOGIC SOFTWARE LICENSE AGREEMENT 
  2. ------------------------------------- 
  3. LICENSE
  4. VideoLogic Ltd. ("VideoLogic") agrees to grant and Licensee to accept a
  5. non-exclusive non-transferable license to use the software and any part of
  6. it ("Software") contained in this product on the terms below.
  7.  
  8. ACCEPTANCE 
  9. The terms of this License are accepted by the parties on Licensee commencing
  10. use of the product and any requirement on Licensee to communicate acceptance
  11. is hereby waived.
  12.  
  13. PERMITTED USE 
  14. The Licensee is hereby authorized: 
  15. 1. to use the Software on a single computer system ("system") and to use (but
  16.    not copy) the operational manuals relating to the software
  17. 2. to modify the Software or merge it in machine readable form into another
  18.    program, any merged program to be subject to this License
  19. 3. to copy the Software for back-up purposes provided no more than 3 copies
  20.    are in existence at any one time to store the Software on the system or
  21.    other storage unit on disk
  22. 4. to store the Software on the system or other storage unit on disk
  23.  
  24. PROHIBITED USE 
  25. The Licensee shall not 
  26. 1. use copy or modify the Software save as provided herein and having
  27.    reproduced on all copies any copyright notice of VideoLogic or its
  28.    suppliers
  29. 2. provide or otherwise make available Software in any form to any person
  30.    other than in confidence to Licensee's employees, including without 
  31.    limitation any public display or performance of the Software or any 
  32.    image, sound, musical work, or audio-visual work, or portion thereof, 
  33.    contained in or generated by the Software
  34. 3. remove or obscure any trademark or copyright notices
  35. 4. decompile disassemble or reverse engineer the Software
  36. 5. copy the Software operating manuals additional copies of which can be
  37.    obtained from VideoLogic or its distributors
  38.  
  39. WARRANTY 
  40. Software is not warranted to be error free and existence of errors will not
  41. breach this License. Subject thereto and provided that non-compliance is not
  42. caused by modification or addition to Software not performed by VideoLogic
  43. nor by incorrect use abuse or corruption nor by use with or on incompatible
  44. software or hardware VideoLogic warrants Software will for 90 days from
  45. delivery to Licensee comply with VideoLogic's then standard specification
  46. and in event of breach will at its sole option either refund license fee or
  47. endeavor to correct Software. Save as otherwise provided all implied
  48. warranties conditions or terms are excluded to the fullest extent permitted
  49. by law. Except in respect of death or personal injury caused by VideoLogic's
  50. negligence VideoLogic shall not be liable to the Licensee for consequential
  51. or indirect loss (whether loss of profit or otherwise) costs or expenses
  52. whatsoever arising in connection with the supply of the Software its use or
  53. loss or interruption of use.
  54.  
  55. INTELLECTUAL PROPERTY 
  56. The trademarks names copyright and other intellectual property rights
  57. whatsoever subsisting in the Software and operating manuals (including but
  58. not limited to all programs compilation of command words other syntax
  59. contained therein) are and shall remain the sole property of VideoLogic and
  60. its suppliers.
  61.  
  62. CONFIDENTIALITY 
  63. All information data drawings specifications software listings source and
  64. object codes are proprietary and confidential and shall not be disclosed to
  65. any third party without VideoLogic's written consent.
  66.  
  67. TERMINATION 
  68. This License shall remain in force until terminated (without prejudice to
  69. any other right or remedy of VideoLogic) by written notice by VideoLogic to
  70. Licensee if Licensee is in breach of any provision of this License makes any
  71. voluntary agreement with its creditors becomes subject to petition for an
  72. administration order or (being an individual or a firm) becomes bankrupt or
  73. (being a company) goes into liquidation (otherwise than for the purposes of
  74. amalgamation or reconstruction) or if an encumbrancer takes possession or a
  75. receiver is appointed of any property or assets of Licensee. On termination
  76. Licensee shall forthwith return or destroy (as VideoLogic directs) Software
  77. all copies and modifications thereof and operating manuals and certify same
  78. has been done.
  79.  
  80. GENERAL 
  81. This License which shall be construed in accordance with laws of England
  82. shall not affect statutory rights of customers. If any provision of this
  83. License is invalid or unenforceable in whole or in part the validity of
  84. other provisions of this License and remainder of the relevant provision
  85. shall not be affected. Headings are for convenience only and shall not affect
  86. construction.
